1. Introduction

This Agreement (the "Agreement") outlines the terms and conditions under which Zendbox Limited ("Zendbox") collaborates with Partner Agencies ("the Partner") to refer potential clients seeking third-party fulfilment services. This Partnership Referral Scheme is designed to benefit all parties through mutual collaboration.

2. Definitions

Referred Client: A business referred by the Partner that meets Zendbox’s qualifying criteria and commences services with Zendbox.

Qualifying Criteria: Criteria defining suitable clients, including but not limited to: minimum monthly orders, geographical requirements, and fulfilment needs.

Referral Fee: £1000 off a monthly invoice with Zendbox – the first invoice which follows the successful onboarding of the newly referred customer.

3. Referral process

The Partner refers potential clients to Zendbox via the approved channels (email, online form, or dedicated portal).

Zendbox reviews the referral to ensure it meets the qualifying criteria. Upon acceptance, Zendbox will notify the Partner of the referral’s status.

If the referred client signs a contract and begins trading with Zendbox, the referral is considered qualified.

4. Referral fee structure

The Partner will receive £1000 off a monthly invoice with Zendbox – the first invoice which follows the successful onboarding of the newly referred customer.

For high-value referrals exceeding £300,000 in annual fulfilment costs, Zendbox may negotiate bespoke fees.

5. Payment terms

£1000 will be deducted from the partners first monthly invoice total after the referred client onboards and makes payment.

Zendbox reserves the right to withhold referral fees if the referred client defaults on payments.

6. Partner obligations

The Partner agrees to:

- Ensure the referred client’s information is accurate and complete.
- Refrain from making unauthorised commitments or representations on behalf of Zendbox.

The Partner acknowledges that Zendbox retains sole discretion in determining the suitability of referred clients.

7. Confidentiality

Both parties agree to keep all non-public information about referred clients confidential, except where disclosure is required by law.

The Partner shall not use Zendbox’s branding or proprietary materials without prior written consent.

8. Term and termination

This Agreement begins on the date of acceptance and remains in effect unless terminated by either party with 30 days’ written notice.

Zendbox reserves the right to terminate this Agreement immediately if the Partner breaches any material term.

9. Governing law

This Agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement will be resolved in the courts of England.

10. Miscellaneous

This Agreement is non-exclusive, and both parties are free to engage with other partners or providers.

Amendments to this Agreement must be made in writing and signed by authorised representatives of both parties.
